1. INTRODUCTION

These Terms of Service (“Terms”) govern your access to and use of GoWap, a Software-as-a-Service (SaaS) product operated by GoWap (A Product of GoUp Digital Marketing Agency) (“Company”, “we”, “us”, “our”).

By accessing or using GoWap, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not use the service.

2. DESCRIPTION OF SERVICE

GoWap is a software platform designed for agencies, freelancers, and marketers that:

  • Connects securely to Meta Ads accounts via official OAuth authorization.
  • Retrieves advertising performance metrics.
  • Generates customizable KPI reports based on user settings.
  • Delivers these reports automatically via WhatsApp.

Disclaimer of Affiliation: GoWap is an independent software service. We are not affiliated with, endorsed by, sponsored by, or officially associated with Meta Platforms, Inc., Facebook, Instagram, or WhatsApp.

3. ELIGIBILITY

To use GoWap, you must:

  • Be at least 18 years old.
  • Use the service for lawful business and professional purposes.
  • Have the legal authority to bind your organization or business to these Terms.

4. ACCOUNT RESPONSIBILITIES

You are entirely responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account.
  • Ensuring the accuracy of the information you provide.
  • Managing team access and permissions within your organization's account.

You must notify us immediately at info@gowap.in of any unauthorized access or suspected security breach.

5. META API & WHATSAPP API USAGE

GoWap operates using official third-party APIs:

  • Meta Marketing API: Used for read-only access to your advertising performance data.
  • WhatsApp Cloud API: Used strictly for transactional report delivery.

By connecting your Meta account, you explicitly authorize GoWap to access the advertising performance data necessary to generate your reports. You agree to strictly comply with:

  • Meta Platform Terms
  • Meta Marketing API Terms
  • WhatsApp Business Terms

Violation of these third-party terms may result in the immediate suspension or termination of your GoWap account.

6. CLIENT CONSENT RESPONSIBILITY

When you add a client’s WhatsApp number to GoWap for report delivery, you represent, warrant, and guarantee that:

  • You have obtained explicit, valid, and legally binding consent from the recipient.
  • The recipient has agreed to receive automated, transactional Meta Ads reports via WhatsApp.
  • You are legally authorized to share that contact information with us for processing.

GoWap (A Product of GoUp Digital Marketing Agency) is not responsible for the improper, unauthorized, or illegal addition of contact data by users.

7. ACCEPTABLE USE

You agree NOT to:

  • Use GoWap to send spam, promotional messaging, or unsolicited marketing content via WhatsApp.
  • Attempt to access unauthorized data, bypass security measures, or reverse engineer the platform.
  • Use the platform for any illegal activities or violate applicable laws or regulations.
  • Abuse, overload, or intentionally trigger rate limits on the Meta or WhatsApp APIs.

We reserve the right to suspend or terminate accounts that violate these acceptable use policies without prior notice.

8. DATA & PRIVACY

Your use of GoWap is governed by our Privacy Policy and Data Processing Agreement (DPA). We process data strictly for the purpose of generating and delivering advertising performance reports and operating the SaaS platform. You retain full ownership of your client data and ad performance data. We do not sell or monetize your user data.

9. SERVICE AVAILABILITY

We strive to maintain highly reliable service, but we do not guarantee uninterrupted platform availability. We are not liable for disruptions caused by:

  • Meta API or WhatsApp API outages or rate limit changes.
  • Hosting provider downtime.
  • Internet connectivity issues.
  • Force majeure events (e.g., natural disasters, government actions).

10. PAYMENT & PLANS

GoWap offers subscription plans. By subscribing to a paid plan:

  • You agree to pay the applicable recurring fees.
  • Fees are non-refundable unless otherwise required by law.
  • Failure to pay may result in the suspension or downgrading of your account.
  • Plan features, API limits, and client caps are limited based on your active subscription tier.

11. INTELLECTUAL PROPERTY

All platform content, UI design, branding, features, and software code are the exclusive intellectual property of GoWap (A Product of GoUp Digital Marketing Agency).

You may not copy, modify, distribute, resell, or create derivative works of the GoWap platform without our express written permission.

12. TERMINATION

We may suspend or terminate your account if:

  • You violate these Terms.
  • You misuse the Meta or WhatsApp APIs.
  • We are required to do so by law.
  • You fail to pay your subscription fees.

You may terminate your account at any time by deleting your organization within the dashboard or contacting support. Upon termination:

  • Meta OAuth tokens are immediately revoked.
  • Client contact data is deleted.
  • Your organization data is permanently removed within 7 business days.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, GoWap (A Product of GoUp Digital Marketing Agency) shall not be liable for:

  • Indirect, incidental, special, or consequential damages.
  • Loss of profits, revenue, or business opportunities.
  • Data inaccuracies originating from the Meta APIs.
  • Message delivery delays or failures caused by WhatsApp.

In no event shall our total liability to you exceed the amount paid by you for the GoWap service in the three (3) months preceding the event giving rise to the claim.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless GoWap (A Product of GoUp Digital Marketing Agency), its officers, directors, employees, and affiliates from any claims, damages, liabilities, or expenses arising out of:

  • Your failure to obtain valid client consent for WhatsApp messaging.
  • Your violation of Meta or WhatsApp API terms.
  • Your misuse of the GoWap service.
  • Your violation of any applicable law or regulation.

15. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

16. CHANGES TO TERMS

We may update these Terms periodically to reflect product updates or legal requirements. Continued use of the GoWap service after updates are posted constitutes your acceptance of the revised Terms.
